Who You'll Meet
When you become a member of NLAN, you will join a group of successful business people from around the region who are all accredited investors and have a wide range of backgrounds, including CEOs, entrepreneurs, and professionals. They apply this considerable experience to assist our portfolio companies with business strategy and implementation, team building and fund raising. Members make individual investment decisions and meet together to review an opportunity and to share due diligence. Collectively, they are able to supply many seed and early stage companies with sufficient capital and expertise to launch their businesses or grow them to the next stage of development.
Membership Terms
All members are subject to the following terms:
- Each Angel member must meet the criteria for Accredited Investor status as defined by the Ontario Securities Commission:
- I am an active independent equity investor in privately held companies.
- I alone, or together with my spouse, beneficially own assets that have an aggregate realizable value exceeding C$1 million (excluding the principal residence, before taxes but net of liabilities); or
- my net income before taxes exceeded $200,000 in each of the past two years, and I have a reasonable expectation of exceeding that net income level in the current year; or
- my net income before taxes, together with that of my spouse, exceeded $300,000 in each of the past two years, and we have a reasonable expectation of exceeding that combined net income level in the current year.
Each Angel Member must pay the annual membership fee and the individual dinner fees by personal credit card, personal cheque, or personal holding company cheque. Annual dues are $500 and will be invoiced on your anniversary date.
- Each Angel member is required to disclose their individual investment activities to the Membership. This information is confidential and will be treated as such. Members only invest in those opportunities that appeal to them individually. Members may invest in all or none of the opportunities presented, and of course are free to invest elsewhere.
- Each Angel Member is required to declare any involvement with companies brought to the group for consideration.
- Members are expected to be active individual investors. Members' investment activity will be reviewed annually as a consideration for renewal.
- Each Angel Member agrees to release their contact information for inclusion in the roster to be provided to the Membership for the purpose of facilitating their private investment activities. Distribution of the roster or solicitation of services will prompt immediate dissolution of membership. Offending members will forfeit any fees (membership or otherwise) paid.
Members meeting these requirements are approved by a vote of the Board of Directors of NLAN.
What is Expected of You as an Angel?
- Active participation through the investment of their own funds;
- Attendance commitments at least 2 angel events (pitches or professional development); and recognition by the local business community as having reputable business ethics.
- The Angel group code of conduct also includes the requirement to maintain confidentiality of member identities, company data, company due diligence discussions, and individual investment commitments.
- It is also a standard requirement to disclose any relationship with a presenting company, or any personal benefit relating from group investments and/or relationships with other members.
